Terms ofService

This User Service Agreement ("Agreement") is entered into by and between you ("User" or "you") and ZilCloud ("we" or "the Platform") and is legally binding on both parties.

By any of the following, you are deemed to have fully read, understood, and accepted all terms of this Agreement:

• Clicking "Agree", "Confirm", or similar buttons on registration, login, or checkout pages;
• Accessing, browsing, or using any services provided by the Platform in any manner;
• Completing the account registration process.

If you do not agree to any term of this Agreement, please stop using all services immediately.Minors may not register for or use this service.

ZilCloud provides cloud server rental and related services based on dedicated Apple Silicon (Mac mini M4) physical hardware, including but not limited to:

• Dedicated physical Mac mini M4 server rental (daily / weekly / monthly / quarterly billing)
• SSH remote terminal access
• VNC graphical remote desktop (including browser-based VNC)
• Dedicated 1 Gbps network bandwidth and independent public IPv4
• OpenClaw sandbox isolation and zero-trust access control
• Basic technical support services

We reserve the right to adjust, add, or discontinue certain service features at any time without prior notice and without liability for any resulting damages. The final form of services is subject to what the Platform actually provides.

3.1 Registration Requirements

You must provide accurate, complete registration information and keep it up to date. You are solely responsible for any consequences arising from false information. Each user may register and hold only one account.

3.2 Account Security

Keep your account password and login credentials secure. All actions under your account are deemed your own, and you bear corresponding legal liability. If you discover unauthorized use, notify us via ticket immediately; we are not liable for actions taken before such notice.

3.3 Account Transfer Restrictions

Without our written consent, you may not transfer, lend, lease, or otherwise allow third parties to use your account or account benefits. Violators may have accounts suspended immediately with no refund of fees paid.

You agree to use the service only for lawful purposes and comply with all applicable laws and regulations.The following conduct is strictly prohibited. Violators will have accounts suspended immediately with no refund of fees paid:

• Engaging in activities that violate laws and regulations of any country or region
• Launching cyber attacks, DDoS attacks, port scanning, or infiltrating others' systems
• Sending spam or conducting phishing
• Distributing malware, viruses, ransomware, or similar harmful programs
• Unauthorized cryptocurrency mining
• Operating proxy, VPN, or traffic relay services without written authorization
• Infringing third-party intellectual property, privacy, or other lawful rights
• Any conduct that may harm platform infrastructure, network stability, or other users' interests
• Bypassing or attempting to bypass any security measures or technical restrictions of the Platform

5.1 Billing

All fees are quoted in US dollars (USD) and prepaid before service starts. Once confirmed, your billing cycle (daily / weekly / monthly / quarterly) cannot be changed to a shorter period. All fees paid are non-refundable.

5.2 Auto-Renewal

Unless you disable auto-renewal in the console before the current billing cycle ends, service will automatically renew and charge at the same billing cycle.

5.3 Price Adjustments

We reserve the right to adjust pricing. Existing subscription prices are unaffected; new prices take effect from the next billing cycle.

5.4 Taxes

All displayed prices exclude applicable taxes. You are solely responsible for all tax obligations arising from use of this service.

6.1 Availability Target

We strive to provide stable, reliable service with a target monthly network availability of 99.9% (excluding scheduled maintenance and force majeure events). This target is aspirational and does not constitute a legally binding service commitment.

6.2 Scheduled Maintenance

We will endeavor to notify you in advance of scheduled maintenance windows but may perform emergency maintenance without notice. Unavailability during maintenance is not counted in SLA statistics.

6.3 Resource Usage

Your server has defined resource specifications (CPU, memory, storage, bandwidth). If your usage unreasonably affects the shared network or other users, we may limit or suspend related resource usage without further notice.

Data backup is entirely your responsibility.We do not provide automatic backup services and are not liable for any data loss, corruption, or irrecoverability for any reason, including but not limited to:

• Hardware failure or accidental damage
• Data deletion upon service termination or account suspension
• Data loss due to human error or software defects
• Natural disasters or other force majeure events

After account expiry or termination, all data on the server will be permanently deleted within Within 72 hours and cannot be recovered. Please complete data migration before service expiry.

All Platform content, including but not limited to website design, UI elements, text, graphics, logos, software code, API interfaces, and documentation, is ZilCloud proprietary property protected by Chinese and international intellectual property law. Unauthorized copying, modification, distribution, or derivative works are prohibited.

You retain ownership of content stored on your server. You grant us a limited, non-exclusive license necessary to process, transmit, and store your content while providing the service.

You grant us the right to use your service usage data in anonymized, aggregated form to improve platform performance, conduct technical research, and optimize services.

To the maximum extent permitted by law, ZilCloud expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We are not liable for the following:

• Service unavailability due to internet-wide or partial failures or carrier network outages
• Service interruption due to force majeure (including natural disasters, war, government restrictions, pandemics, etc.)
• Failures or service changes by third-party providers (including payment processors and upstream network suppliers)
• Hacking, network intrusion, or other malicious third-party acts
• Data loss or system damage due to user error
• Any third-party claims arising from content you store on the server
• Suspension or termination of service to comply with lawful orders from government or judicial authorities

In no event shall ZilCloud's total cumulative liability for all claims, losses, or damages under or related to this Agreement exceed the service fees you actually paid to us in the most recent calendar month before the disputed matter arose.

ZilCloud is not liable for any of the following types of loss, whether or not advised of the possibility:

• Indirect, incidental, special, or punitive damages
• Lost profits, business opportunities, goodwill, or data
• Losses from business interruption

Some jurisdictions do not allow limitation of certain types of liability; in those cases the above limits apply only to the maximum extent permitted by law.

11.1 User-Initiated Termination

You may terminate service anytime by disabling auto-renewal in the console. Service stops at the end of the current billing cycle; fees paid are non-refundable.

11.2 Platform Termination Rights

We may immediately suspend or permanently terminate your service without prior notice and without refund in the following circumstances:

• Violation of any prohibited conduct under Section 4 of this Agreement
• Billing arrears unpaid for more than 72 hours
• Account suspected of fraud or used for illegal purposes
• Compliance with legal requirements or lawful orders from law enforcement
• User conduct causing significant impact on platform infrastructure or other users

11.3 Data Cleanup

After service termination, we will delete all server data associated with the account within Within 72 hours. This operation is irreversible.

We reserve the right to modify this Agreement at any time. The revised Agreement will be posted on this page with an updated "Last updated" date.Continued use after modifications are published constitutes acceptance of the revised terms.If you do not accept the modifications, stop using the service before they take effect; services already purchased for the current billing cycle remain governed by the pre-modification terms.

13.1 Negotiation First

Any dispute should first be resolved through friendly negotiation. Contact us via the ticket system; we will respond within 5 business days.

13.2 Governing Law and Jurisdiction

The formation, validity, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding conflict-of-law rules). If negotiation fails, disputes shall be submitted to the people's court with jurisdiction in the location of the Platform's operating entity.

13.3 Severability

If any provision of this Agreement is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
